Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services (collectively, the “Services”) provided by Keyom Inc., doing business as AI Guru (“AI Guru,” “we,” “us,” or “our”), a company incorporated in the State of New Jersey, United States.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts

Some Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Reverse engineer, decompile, or disassemble any aspect of the Services;
• Use the Services to develop competing products or services;
• Circumvent any access controls, rate limits, or security measures;
• Transmit any malicious code, viruses, or harmful content;
• Use the Services in any manner that could damage, disable, or impair them;
• Resell, redistribute, or sublicense access to the Services without our prior written consent.

5. Intellectual Property

All content, software, trademarks, and other intellectual property associated with the Services are owned by or licensed to Keyom Inc. (d/b/a AI Guru). Nothing in these Terms grants you any right, title, or interest in the Services beyond the limited license to use them in accordance with these Terms.

You retain ownership of any content you submit to the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to operate and improve the Services.

6. Courses and Educational Content

Courses offered through third-party platforms (including Coursera, Udemy, and Maven) are subject to each platform's own terms of service in addition to these Terms. Course content is for personal or internal business use only and may not be redistributed, recorded, or repurposed without written permission.

7. SaaS Products and Subscriptions

Access to our software products is provided on a subscription or per-license basis as described on the applicable product page or order form. We reserve the right to modify pricing with 30 days' written notice. Fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement.

8. Governance and Advisory Services

AI governance assessments, advisory services, and deliverables (including NEUBoard scorecards, AgentGuru templates, and AssuranceOps evidence packets) are provided for informational purposes. They do not constitute legal, regulatory, or compliance advice. You should consult qualified professionals before making decisions based on our deliverables.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYOM INC. (D/B/A AI GURU), ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Keyom Inc. (d/b/a AI Guru) and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in New Jersey.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
